We can form a company with your own choice of name within 7 - 10 working days, provided that the name is not already registered, does not contain sensitive words and is not too similar to an existing registered company.

We will also need to establish the following details:

1. Nature of the Business:
   We usually use our standard set of Memorandum and Articles of Association in line with the Companies Acts 1985 to 1989. The main objects clause provides for a general commercial company which can carry on any trade or business whatsoever. Specific objects clauses can be included at an extra charge from (GBP) 15.00
   
2. Capital:
   The Authorised Share Capital of our Companies is usually (GBP) 1,000, but it can be registered in any amount as stated by yourselves. The Issued Share Capital is the amount of shares actually issued to members, ie: if you issue two shares the issued share capital is (GBP) 2.00. The Authorised Share Capital is the total amount of shares that can be issued.
   
3. Regisitered Office:
   This does not have to be a trading address but an address in England or Wales which will accept any legal documentation. Form 287 relates to the situation of the Registered Office of the Company.
   
   If you are unable to provide an address, we are able to offer this service at a charge of (GBP) 125.00 + VAT per annum, wherein we would act as the Registered Office for legal documentation for the Company and redirect / forward the legal mail to any address you desire. The charge for this is (GBP) 2.50 per item and is charged quarterly. Please note this is not a general mailing address.
   
4. Director/Secretary:
   A limited company requires at least one Director and one Secretary, a sole Director cannot also be a Secretary, but must have a supporting officer. If you are unable to appoint a Secretary, we would be able to provide that service, in name only, at a fee of (GBP) 150.00 + VAT per annum. Form G288a relates to the appointment of Director/Secretary.
   
5. Shareholder(s):
   Normal companies issue a minimum of two shares to two different shareholders. However a Single Member Company can be formed whereby only one person may hold all the shares.

For ease of administration to yourself and to enable the speedy incorporation of your company, we will act as first Director and Secretary, and come in as first Shareholders. Upon incorporation of the company, we will resign as Director and Secretary and issue stock transfer forms to the value of the issued shares. Should you wish to come in as first Shareholder(s) (subscriber) there is an additional charge of (GBP) 35.00 + VAT.
